Power of Attorney (POA)
A document authorizing someone to act for you in property matters — but per the Supreme Court's Suraj Lamp ruling, a GPA can never transfer ownership.
Definition
A Power of Attorney is a legal document by which one person (the principal) authorizes another (the attorney or agent) to act on their behalf. A General Power of Attorney (GPA) grants broad authority over a range of affairs — managing, leasing, or dealing with property and finances — while a Special Power of Attorney (SPA) is limited to a specific task, such as registering one particular sale deed, and lapses once that task is complete. For property transactions, an SPA is generally the safer and recommended instrument.
The single most important legal fact about POA in Indian real estate comes from the Supreme Court's three-judge bench decision in Suraj Lamp & Industries v. State of Haryana (2011): a so-called 'GPA sale' — transferring property through a sale agreement plus GPA plus will instead of a registered sale deed — does not convey any title or ownership. The Court held that immovable property can be lawfully transferred only by a registered deed of conveyance, and that SA/GPA/will arrangements were devices to evade stamp duty and registration. Buying property on the strength of a GPA alone gives you no ownership.
Registration and authentication rules also apply to the POA document itself. Under the Registration Act, 1908, a POA that empowers the attorney to present documents for registration (such as a sale deed) must itself be properly executed and authenticated; Sections 32 and 33 govern who may present documents and how POAs are recognized. NRIs commonly use POAs to manage Indian property from abroad: the POA is signed before the Indian Embassy or Consulate (or a notary as permitted) in the country of residence, and after it reaches India it must generally be stamped/adjudicated within three months to be usable here.
